Acceptance of Terms

By accessing our website or using our Services, you confirm that:

Shield53 provides cybersecurity services including, but not limited to:

• Security Operations Center (SOC) services
• Managed Detection and Response (MDR)
• Incident Response
• Vulnerability Management
• Security Consulting and Advisory
• Virtual CISO (vCISO) services

Specific service terms, deliverables, and pricing are detailed in separate service agreements or statements of work.

Exclusions and Exceptions

The Services provided by Shield53 expressly exclude the following activities, unless separately agreed to in writing by both parties:

1. Personal or Individual Forensics

Shield53 does not provide forensic investigation, analysis, or support related to personal devices, individual users, or non-corporate assets, including but not limited to personal laptops, mobile phones, tablets, personal email accounts, or privately owned systems. All forensic services are limited to authorized, organization-owned assets explicitly covered under the applicable agreement.

2. Red Team Exercises and Offensive Security Testing

Shield53 does not perform red team exercises, adversary emulation, social engineering campaigns, or offensive security operations unless explicitly defined, scoped, and contracted as a separate engagement. Any testing intended to simulate real-world attacks, bypass controls, or exploit systems is excluded by default.

3. Unauthorized or Illegal Activities

Shield53 will not engage in activities that are unlawful, unethical, or performed without proper authorization, including investigations or testing on systems for which the Customer does not have documented ownership or explicit permission.

4. Out-of-Scope Services

Any services not expressly listed in the applicable Statement of Work (SOW), Order Form, or written agreement are considered out of scope and excluded from the Services.

Account Registration

Some Services may require account registration. You agree to:

• Provide accurate and complete information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Acceptable Use

You agree NOT to:

• Use our Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt our Services or servers
• Transmit malware, viruses, or other harmful code
• Impersonate any person or entity
• Collect or harvest user information without consent
• Use automated systems (bots, scrapers) without permission
• Reverse engineer or attempt to extract source code from our Services

Intellectual Property

All content, trademarks, logos, and intellectual property displayed on our website and in our Services are owned by Shield53 or our licensors. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks without written authorization
• Remove any proprietary notices or labels

You retain ownership of any content you submit to us, but grant us a license to use such content as necessary to provide our Services.

Confidentiality

In the course of providing Services, we may receive confidential information from you. We agree to:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not guarantee that:

• Our Services will be uninterrupted or error-free
• Our Services will detect or prevent all security threats
• Any specific results will be achieved

Cybersecurity is an evolving field, and no security solution can provide absolute protection against all threats.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIELD53 SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Damages arising from third-party actions or system failures

Our total liability shall not exceed the amount you paid for Services in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Shield53, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights

Termination

We may suspend or terminate your access to our Services at any time for:

• Violation of these Terms
• Conduct that may harm Shield53 or other users
• Non-payment (for paid Services)

Upon termination, your right to use our Services ceases immediately. Provisions that by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:
